1. Acceptance of Terms
By accessing or using the website shanture.com and any products or services offered by Shanture LLP ("Shanture", "we", "us", or "our"), including but not limited to BridgeX, Nexus ERP, SEC Parser, and CuraAI (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.
2. Description of Services
Shanture provides the following products and services:
- BridgeX: AI-driven Institute Management System for automating NIRF, NAAC, NBA, AISHE ranking form submissions and faculty KPI tracking
- Nexus ERP: AI-powered Enterprise Resource Planning software covering HRMS, CRM, Inventory, and Finance
- SEC Parser: Automated financial spreading platform for SEC XML filing extraction and analysis
- CuraAI: AI-first multi-tenant Hospital Management System for healthcare operations
- Custom Development: Web application development, website development, and digital marketing services
3. User Accounts
To access certain features of our Services, you may be required to create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or use of your account
- Ensuring that all information provided is accurate and up to date
We reserve the right to suspend or terminate accounts that violate these Terms or engage in unauthorized activities.
4. Subscription and Payment
Certain Services are offered on a subscription basis. By subscribing, you agree to:
- Pay the applicable fees as described in your service agreement or order form
- Provide accurate billing information and authorize recurring charges
- Accept that fees are non-refundable except as expressly stated in your agreement
We reserve the right to modify pricing with reasonable advance notice. Continued use after pricing changes constitutes acceptance of the new terms.
5. Intellectual Property
All content, features, and functionality of our Services — including but not limited to software, code, algorithms, designs, text, graphics, logos, and documentation — are the exclusive property of Shanture LLP and are protected by applicable intellectual property laws.
You may not:
- Copy, modify, distribute, or create derivative works of our Services
- Reverse engineer, decompile, or disassemble any part of our software
- Use our trademarks, logos, or brand assets without prior written consent
- Remove or alter any proprietary notices or labels on our Services
6. Data Ownership and Usage
6.1 Your Data
You retain all rights to the data you upload, input, or generate through our Services ("Your Data"). We do not claim ownership of Your Data.
6.2 License to Use
You grant Shanture a limited, non-exclusive license to use Your Data solely for the purpose of providing and improving our Services. This includes processing, storing, and transmitting Your Data as necessary to deliver the Services.
6.3 Multi-Tenant Isolation
For our SaaS products, we implement strict tenant isolation to ensure your data is separated from other customers' data. Each tenant's data is logically isolated and cannot be accessed by other tenants.
7. Acceptable Use
You agree not to use our Services to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use automated tools to scrape, crawl, or extract data from our Services without permission
- Interfere with or disrupt the integrity or performance of our Services
8. Healthcare Compliance (CuraAI)
For users of CuraAI, the following additional terms apply:
- You are responsible for obtaining appropriate patient consent before entering patient data into the system
- You must comply with all applicable healthcare data protection laws and regulations
- AI-generated clinical suggestions are decision-support tools and do not replace professional medical judgment
- Healthcare professionals remain solely responsible for all clinical decisions
- We maintain audit logs for all data access in compliance with healthcare regulations
9. Service Availability and Support
We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may temporarily suspend access for maintenance, updates, or to address security concerns. We will make reasonable efforts to provide advance notice of planned downtime.
Technical support is available via email at connect@shanture.com during business hours. Response times and support levels may vary based on your subscription plan.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Shanture LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or relating to your use of our Services.
Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Shanture LLP, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses arising out of your use of our Services, violation of these Terms, or infringement of any third-party rights.
12. Termination
Either party may terminate the service relationship in accordance with the terms of the applicable service agreement. Upon termination:
- Your access to the Services will be disabled
- You may request export of Your Data within 30 days of termination
- We will delete Your Data from our systems within 90 days, unless retention is required by law
- Sections regarding intellectual property, limitation of liability, and indemnification survive termination
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Continued use of our Services after such changes constitutes acceptance of the revised Terms.
